General
In these terms and conditions of sale the ‘Company’ means ‘Integral Lighting Ltd’ (Ireland) or ‘Tegral Lighting Ltd’ (UK), whichever company goods are purchased from. The term ‘Goods’ means any item of whatsoever nature which is to be sold or supplied by the company including services. The ‘Purchaser’ means the person, firm or body corporate which buys or has agreed to buy the goods. All orders placed for goods are accepted on the understanding that the purchaser agrees to our conditions of sale, copies of which are available upon request.
Carriage
Carriage is paid on orders over Åí250.00 for England, €400 for republic of Ireland, Åí350 for Scotland, Channel Islands, Scilly Isles & Northern Ireland. Additional fees may apply to some postcode areas, please check with our sales team.
Delivery
We offer next day delivery for most deliveries on orders placed before 2pm. For a specific timed delivery an additional charge will apply, please contact sales office. Delivery on products is subject to stock availability and lead times given are given in good faith.
Discrepancies on deliveries and collections
The purchaser must inform the company in writing of any shortages or damages of goods within three days of receipt.
Goods for Return
All goods for return must be cleared with our sales team first. Goods that have not been authorised for return with an RMA reference will be rejected and returned to sender.
Any faulty goods returned and found to be in perfect working order may be returned to the purchaser and reinvoiced together with any applicable return or collection carriage charges. An opportunity will be provided to have the fittings scrapped to which a response is required within 10 working days, the company reserves the right to scrap any goods against an RMA that has not received a satisfactory response or resolution within the allotted 10 working days and an invoice for the associated charges will be issued. A handling charge of 10% will apply for goods returned that are not in relation to any discrepancies on deliveries or faulty goods with the exception of goods that are made to order, or made under specialised circumstances such as time constraints not previously agreed during quoting, in these instances these products are supplied on a strictly non refundable basis.
Prices
The price payable for goods, unless otherwise stated by the company in writing, is the list price of the goods at the time of purchase. Prices are subject to alteration at any stage. All prices quoted or listed exclude VAT.
Specifications
Designs and specifications of products may change from time to time due to continuous product improvements. The company reserves the right to alter product specifications without any prior notification. Any error or omission in the Companies product literature, website or catalogues shall be subject to correction without any liability on the part of the Company.
It is the responsibility of the installer to ensure the product supplied is suitable for the location that it is being installed.
The company will not accept responsibility for product installed in areas where chemicals are present in the air resulting in damage to products.
In the case of LED products in particular, lumen output declared can have a variance of + – 10%.
Where a product is manufactured to a specification provided by the Purchaser, the purchaser shall indemnify the company against all costs, expenses, damages, losses (including direct, indirect or consequential losses of profit, loss if reputation and all interest, penalties and all other professional costs and expenses) suffered by the company in connection with the companies use of the specification.
Standards of products
All products comply with CE, EMC and Rohs standards.
Title and Risk
Title shall only pass to the Customer on payment in full of the price of the Goods and of any other sums due and payable by the customer at any time.
The Company shall be entitled to recover the price and any other sums due notwithstanding that title in the Goods has not passed to the Customer.
The Customer shall hold the Goods as the Company’s fiduciary agent and Bailee, and shall keep the Goods separate from those of the Customer and third parties and properly stored, protected and insured and identified as the Company’s property until such a time as title passes to the customer and shall deliver up the Goods to the Company on demand.
The Customer grants to the Company a full irrevocable licence to enter upon any premises in which the Goods are stored or installed (or are reasonably believed by the company to be), to uninstall the goods and to repossess, sell or deal with any of the Goods in which title remains vested in the Company and the Customer will indemnify the Company in respect of any loss of damage or deterioration to the Goods resulting from any such action.
The Customer shall not pledge or in any way charge any of the Goods which remain the property of the Company, but if the Customer does so all money owing the customer to the Company shall (without prejudice to any other rights or remedy of the Company) forthwith become due and payable.
The Company may at any time by written notice to the Customer revoke the Customer’s right to re-sell the Goods where title thereto has not passed to the Customer. Upon such revocation all such amounts payable in respect of the Goods which have been re-sold shall immediately become due notwithstanding that any period of credit permitted may not have expired.
In the event that the customer has sold or otherwise parted with possession of any part of the Goods before payment has been received in full by the Company, the Customer shall hold the proceeds of such sale (or in the case of payment not having been made the debt owed to the Customer by the sub-purchaser) up to the amount or value of the Customer’s indebtedness as agent and trustee for the Company and shall account to the Company on demand.
Risk of damage or loss shall pass to the Customer, in the case of Goods delivered at the Premises at the time when the Company notifies the Customer that the Goods are available for collection or, in the case of Goods to be delivered otherwise than at the Premises at the time of delivery.
Warranty
All the companies Tegral brand products have a service warranty of twelve months where failure rates exceed 3% (with the exception that 2 or fewer fittings constitute 3%) with the balance of the warranty period being part replacement . Warranties of all other brands provided by the company are declared in the relevant product datasheets. Any product found faulty during warranty period will be repaired or replaced free of charge. Exclusions to warranty include:
- Alteration and/or incorrect installation practices
- For LED products , individual LEDs do not constitute a product failure unless light output of the product is reduced by more than 1% for every 1000 hours of operation. The colour tolerance of LED modules is not covered by the companies guarantee. While the company tries to maintain similar properties from batch to batch of LED products, there may be deviations in light properties from different batches of LED product.
- Misuse
- Product operating hours exceed 12 hours per day (unless extended warranty given by the company with an allowance to increase product operating hours)
- Products that are installed with sensors and exceed 4000 switching cycles per year.
- Wilful damage
Under no circumstances will charges for repair or replacement of faulty products be accepted by the company unless otherwise agreed in writing.
